Practice Valuations & Ownership Transitions
Practice valuationsand ownership transitions
A formal EBITDA-based valuation, followed by management of the entire transition from the first conversation through closing day.
How we work
Representing the deal, not one side of it
A valuation establishes what the practice is worth. The transition is where most deals run into difficulty. We produce the valuation and then manage the process end to end, which means both parties work from the same numbers, the same structure, and the same closing date.
For the seller
- After-tax proceedsWhat actually lands once taxes and fees are accounted for.
- Income replacementA mapped plan for the income the practice used to provide.
- Deal structurePartial buy-in, full acquisition, or complete transfer.
- TimelineA closing date set early and held to.
For the buyer
- Post-close pro formaWhat profitability looks like once the practice changes hands.
- Financing paymentsDebt service modeled against realistic projections.
- Lender coordinationPackaged, submitted, and tracked to approval.
- TimelineThe same closing date, held to.
Our process
How a transition is managed
Most transitions do not fail on price. They fail on structure that does not fit the parties, financing that stalls, an after-tax picture nobody mapped, or two sides advised by people who never speak to each other. The three phases below are built to close those gaps.
Evaluate
EBITDA-based valuation, business analysis, seller needs assessment, and buyer consultation. The full picture is established before anything is committed.
Draft
Letter of intent, financing, purchase agreement, company formation, licensing, and exit planning, all structured and negotiated ahead of closing.
Execute
Documents signed, closing procedures completed, bookkeeping activated, and ownership formally transferred.
Methodology
EBITDA-based valuation using industry-adjusted multiples.
Lender acceptance
Our valuations are accepted by all major veterinary lenders.
Scope
One team from valuation through closing, coordinating lenders, attorneys, and both parties.
