These Terms of Service (“Terms”) govern your use of the NxtVet Marketplace™ (“NxtVet,” the “Marketplace”), operated by ProPartners Team, LLC (“ProPartners,” “we,” “us”). By submitting a listing or otherwise using the Marketplace, you agree to these Terms. This is a working draft pending legal and compliance review.
NxtVet is an independent listing and connection platform for veterinary practices, positions, and preceptorships. ProPartners provides the platform only. We do not verify the accuracy of any listing, do not represent either party to a transaction, employment relationship, or rotation, and are not a party to any agreement reached between users unless separately engaged in writing.
You represent that you are at least 18 years old and are authorized to submit the listing on behalf of the practice or organization it describes, and to bind that organization to these Terms.
You are solely responsible for the content of your listing and for keeping it accurate and current. You will not post content that is false, misleading, unlawful, infringing, or that you lack the right to share. We may edit, decline, suspend, or remove any listing at our discretion, including before it is published.
Paid listings and add-ons (such as Featured placement) are billed on a recurring basis through our payment processor until cancelled. Your listing remains active while its subscription is current. You may manage or cancel a subscription at any time through the billing portal. Fees already paid are non-refundable except where required by law.
By submitting a listing, you agree that ProPartners may contact you by email and phone regarding your listing, inquiries received through the Marketplace, and related ProPartners products and services, including marketing messages. Inquiries about your listing are routed to you, and you decide whether and how to respond. You may opt out of marketing messages at any time; certain transactional messages (such as inquiry notifications and billing) are necessary to provide the service and are not marketing.
Owner identity and direct contact details are not published on listings; interested parties reach you only through the Marketplace’s inquiry channel. Your use of the Marketplace is also governed by our Privacy Statement. Do not submit confidential information you are not authorized to share.
You will not misuse the Marketplace, including by scraping, spamming, attempting to identify anonymous parties, circumventing fees, or using listings or inquiries for any purpose other than a good-faith veterinary transaction, hire, or rotation.
You retain ownership of the content and images you submit and grant ProPartners a non-exclusive license to display them in connection with the Marketplace. “NxtVet Marketplace,” “OneView,” and the ProPartners marks are the property of ProPartners.
The Marketplace is provided “as is” without warranties of any kind. ProPartners does not guarantee any inquiry, sale, hire, placement, or outcome, and does not provide legal, tax, financial, or veterinary advice through the Marketplace.
To the fullest extent permitted by law, ProPartners will not be liable for indirect, incidental, or consequential damages, or for any dealings between users. Our total liability relating to the Marketplace will not exceed the fees you paid us in the twelve months preceding the claim.
You agree to indemnify and hold ProPartners harmless from claims arising out of your listing, your content, or your use of the Marketplace.
We may update these Terms or the Marketplace at any time; continued use after changes constitutes acceptance. We may suspend or terminate access for any reason, including violation of these Terms.
These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws rules.
